Terms of Service

These Terms of Service (“Terms”) govern access to and use of Taskonomy (the “Service”), a product of Brain Gig LLC (“we”, “us”, “our”). By creating an account, starting a trial, completing a purchase, or using the Service, you agree to these Terms.
Cancellations, withdrawals, and refunds for paid subscriptions are also described in our Refund Policy, which forms part of these Terms. Privacy practices are described in our Privacy Policy.
1. The Service
Taskonomy provides organization workspaces for agency delivery and operations, including projects, tasks, time tracking, collaboration, and related modules gated by your subscription plan. Features and limits may change as we improve the product. You are responsible for backing up Customer Content important to your business.
2. Accounts and organizations
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account and for the people you invite into your organization. Organization owners and admins control membership, roles, and plan selection for that workspace. You must keep contact and billing details accurate and ensure messages related to your account or purchases (including payment confirmations) are not blocked by spam filters.
3. Plans, trials, and limits
Free and paid plans may include limits on seats, projects, tasks, and file storage. Enterprise plans may include custom limits. Exceeding a limit may block uploads or invite flows until you upgrade, free capacity, or contact us. Downgrading may reduce features and limits; you remain responsible for bringing usage within the new plan’s caps.
Certain plans offer a free trial before paid charges begin. If you do not want to be charged, you must cancel before the trial ends (see the Refund Policy). When a trial ends without a paid subscription, the organization may move to Free.
4. Payment and subscriptions
Paid Transactions for Taskonomy may be completed via our online checkout or invoicing partners that process payments and applicable taxes on your purchase. On a paid Transaction you authorize charging the payment method you provide for the charges shown (including tax). You will receive confirmation by email or another durable electronic format once payment is confirmed.
If payment authorization fails, the order or renewal may be cancelled and we (or our payment partner) will notify you by email when possible.
Subscriptions. If you purchase a subscription, you authorize recurring charges for successive periods equal to your initial term (or as shown at checkout) until you cancel. Recurring charges are taken on or after 00:00 UTC on the renewal date, using the payment method on file (or as you update it). Failed payments may be retried; if collection fails (for example expired card or insufficient funds), the subscription may be cancelled and you remain responsible for uncollected amounts properly due.
Where required by law, we (or our payment partner) will send renewal reminders. If the price of a subscription increases, we will notify you and, where required by law, seek consent before charging the new amount. If you do not accept a price increase, you may cancel effective at the end of the then-current billing period.
5. Cancellations, chargebacks, and refunds
You may cancel a subscription at any time effective at the end of your current billing period; you will not be charged for subsequent periods after a timely cancel. Cancel through the customer portal or link in your confirmation email, through account billing tools when shown, or by emailing [email protected].
Withdrawals, refunds, and related rights are set out only in the Refund Policy. Contact us before raising a chargeback. Chargebacks may result in temporary suspension of access while reviewed.
6. Acceptable use
You agree not to:
- Violate laws or third-party rights
- Upload malware, abusive content, or unlawful material
- Attempt to access others’ data without authorization
- Abuse, disrupt, or overload the Service or underlying infrastructure
- Resell the Service except as we expressly allow in writing
- Reverse engineer, decompile, or create derivative works of the Service except to the limited extent mandatory law allows
7. Customer content
You retain ownership of content you submit (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to operate and improve the Service. You represent that you have the rights needed to submit that content.
8. Confidentiality and security
We implement reasonable administrative and technical safeguards. No method of transmission or storage is perfectly secure. You are responsible for configuring roles and for exporting/backing up critical Customer Content as needed for your business. You must keep non-public information about our Service confidential except as needed to use the Service or as required by law.
9. Intellectual property
The Service, branding, and underlying software are owned by Brain Gig LLC and its licensors. These Terms grant only a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes under your plan. They do not transfer ownership of our intellectual property to you.
10. Suspension and termination
You may stop using the Service at any time and cancel paid renewals as described above. We may suspend or terminate access, or these Terms, if (i) you materially or repeatedly breach these Terms, (ii) we have reasonable grounds to suspect fraud or unlawful activity, (iii) payment fails and remains uncollected, or (iv) we discontinue the Service. Where appropriate or required by law, we will give notice and, if the breach is remediable, a reasonable chance to fix it—except where notice would compromise an investigation, security, or legal requirements.
Termination does not waive amounts properly due through the termination date. Upon termination, your right to access the Service ends; we may delete Customer Content after a reasonable retention period unless law requires otherwise.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM ATTACKS, VIRUSES, OR OTHER SECURITY INTRUSION.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including death or personal injury caused by negligence, fraud, or mandatory consumer rights in your territory.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAIN GIG LLC AND TASKONOMY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OR DATA; BUSINESS INTERRUPTION; OR LOSSES THAT ARE NOT A FORESEEABLE RESULT OF OUR BREACH; OR DELAYS CAUSED BY EVENTS OUTSIDE OUR REASONABLE CONTROL (INCLUDING NETWORK OR THIRD PARTY INFRASTRUCTURE FAILURES). OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID FOR THE TASKONOMY SERVICE FOR THE TWELVE (12) MONTHS BEFORE THE CLAIM. MANDATORY CONSUMER LAW RIGHTS REMAIN.
13. Changes to these Terms
We may update these Terms by posting a revised version and updating the “Last updated” date, and (where required) by email notice. Updated Terms take effect on the date stated in the notice or, if none, one month after notice, unless a sooner date is required by law. If you do not agree, cancel any subscription and stop using the Service before the update takes effect. Continued use after the effective date constitutes acceptance, except where mandatory law requires express consent for a material change.
14. Governing law and disputes
Except where mandatory consumer law in your country of residence requires otherwise: (i) disputes relating to payment collection for a purchase may be handled under the rules of our payment partner that completed that Transaction; and (ii) these Terms and disputes about the Service between you and Brain Gig LLC are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and courts in Delaware have jurisdiction, subject to your mandatory local consumer rights.
Nothing in these Terms limits rights or remedies under mandatory consumer law in your territory of purchase.
